BVI or Cayman for an Indian crypto trading startup

Start with the company that will provide the customer service. For a platform that executes spot-crypto trades and holds customer assets, both destinations require a regulated operating plan. A holding company can own that operator, but the ownership chart does not settle permissions, Indian funding or access to customers. Choose between BVI and Cayman only after those functions and the resources to support them are clear.

Define the trading business

Assume an Indian-founded team has an early product, no BVI or Cayman virtual-asset permission and plans to serve customers outside India. It proposes spot-crypto trading with custody. The founders’ legal residence, investor, funding route and first customer countries have not yet been established.

FX, CFDs, securities, derivatives, lending and token issuance require different analysis. Trading only the company’s own assets or selling software also changes the question. Describe the actual customer journey before calling the company an exchange, broker or technology provider.

Give each company a defined job

The operator should be identified in the customer agreement and matched to the functions it actually controls: onboarding, orders, execution, asset movements and complaints. Map who holds keys and who can approve, freeze or redirect withdrawals. Keeping keys with another provider does not settle the scope of the operator’s service.

An optional holding company may hold shares and receive investment. An India-based company may develop software or provide agreed support. Add a separate IP company only for a documented commercial purpose, with ownership and licence terms that work in practice. Each extra entity needs its own funding, tax and operational assessment.

What BVI requires

BVI uses registration under its Virtual Assets Service Providers Act. A BVI business company carrying on VASP business abroad is deemed to operate from within BVI. Serving only foreign customers therefore does not remove the BVI question.

The proposed activities must be reflected in the application, including exchange and custody where applicable. The FSC examines the business plan, people, systems and financial resources. At least two individual directors are required; the FSC can require a resident director according to the business’s nature and risks. Registration carries continuing responsibilities.

What Cayman requires

Cayman requires a licence for virtual-asset custody and trading platforms. Registration remains relevant to other covered services, so a registration-only proposal is insufficient for this assumed model. A new startup cannot rely on the transition provided to existing businesses in 2025.

The operating plan must meet the current framework, including the February 2026 conduct rules and retained capital rules. Governance, protection of client assets, technology, outsourcing and financial resources belong in the initial design. The statutory board requirement is at least three directors, including at least one independent director.

Compare the same business in both places

For BVI exchange plus custody, the two application fees total US$20,000. Published initial and annual category fees are US$15,000 for custody and US$25,000 for exchange; confirm the combined assessment with the FSC.

For one Cayman exempted-company platform with custody, the schedule supports a KYD5,000 application and KYD100,000 grant, subject to final classification. Platform annual fees range from KYD50,000 to KYD200,000 by revenue. These currencies and fee stages should remain distinct.

Capital is separate. Cayman’s retained rule uses the highest of risk-based capital, six months’ fixed overheads and a CIMA-determined amount, plus any required buffer. BVI assesses financial adequacy against the proposed business and risks.

A company-formation quote is only one part of this comparison. Request a twelve-month operating budget covering directors, compliance, audit, custody, technology and banking. Confirm how client assets will be protected and how the business will survive a provider failure. No bank, custodian or regulator has approved this scenario, and no complete cost or timing comparison is available.

Resolve the Indian investor before funding

“Indian-founded” does not tell you who can invest. Identify each investor’s legal residence and whether the money comes from a resident individual, an Indian company or a person outside India’s overseas-investment rules. Nationality and residence are different questions.

For an Indian company, overseas investment in financial services has additional conditions. The relevant nonfinancial-investor route requires net profits during the preceding three financial years. First resolve the Indian test for financial services: regulation in BVI or Cayman does not by itself answer it. Do not assume that every startup is barred, or that this startup qualifies.

Resident individuals have a separate route with restrictions affecting financial-services businesses and controlled structures. Obtain a reasoned classification, verify the applicable Overseas Investment Rules and establish the authorised dealer bank’s requirements before transferring capital. A holding company does not automatically remove restrictions on the underlying investment.

Keep management and India operations consistent

A foreign board must reflect how decisions are actually made. If key commercial and management decisions remain in India, assess Indian tax residence, including applicable turnover relief, and related-party pricing. Assigning IP overseas while the Indian team develops and controls it also needs evidence and an appropriate remuneration model.

Assess the economic-substance rules for each entity’s actual activities. A company receiving IP royalties is not simply a pure equity holding company. Likewise, an India team that provides notified virtual-digital-asset services needs a separate FIU-IND analysis; calling it technical support is insufficient. Document any genuine technology-service export and its payment arrangements.

Choose customer markets alongside the structure

Prepare a country list covering customers, marketing, affiliates and onboarding. Home-jurisdiction permission does not establish that every destination market is cleared. If the first intended customers are in Dubai or the EU, compare the local authorisation route before paying for an offshore operating layer. Use Licentium’s broader offshore-structures guide for the wider entity discussion.

When to choose each route

BVI is a candidate where the founders can support the FSC registration model and demonstrate a lawful ownership, funding and customer-access plan. Cayman is a candidate where the founders can support its licensed platform and custody framework and have a concrete commercial reason for that choice.

If neither operating plan is affordable, incorporation alone will not solve the problem. Reconsider the product, resources or role before forming the operator. Where investors need only an offshore holding vehicle, assess that vehicle separately from the jurisdiction in which regulated services will actually be supplied.
