VARA licence or licensed provider for an Indian crypto startup

If your business intends to provide the regulated service itself, plan for authorisation covering its actual activities. A provider model is a candidate where the provider genuinely supplies the regulated service and your company has a carefully defined role. VARA also has an approved Sponsored VASP route, with specific ownership, control and approval conditions. A commercial partnership alone does not give your company the provider’s permission.

Start with one customer journey

Assume an Indian-founded team has an early product, no Dubai authorisation and a proposed spot-crypto service for Dubai customers outside the DIFC. It has not selected a provider. It wants to keep its brand and software. Lending, leverage, derivatives, token issuance and payment-token services are outside this example.

Follow one customer from advertisement to withdrawal. Which entity promises the service? Whose agreement does the customer accept? Who receives or arranges the order, executes the transaction, controls asset movements and earns each fee?

These answers can change the permissions required. VARA’s definitions distinguish arranging orders, exchange or conversion, custody, and transfer or settlement. Outsourcing execution does not by itself answer whether the startup still arranges orders. Keeping private keys elsewhere does not settle every licensing question.

VARA license requirements begin with the operating model

For an independently controlled startup that wants to own the regulated customer relationship, the first route is the stronger planning assumption. The second means accepting a different operating role. The third requires a qualifying group or control structure. These are conditional planning conclusions, not confirmation that an applicant or provider qualifies.

What a provider arrangement must establish

Start with the exact legal entity in the official VARA register. Check its status, relevant activities and restrictions against every function it will perform. An in-principle approval does not allow it to serve clients. A familiar group name is insufficient: obtain the actual licence, conditions and proposed agreement.

Then separate four different arrangements:

  • Outsourcing: a VASP delegates a function while retaining regulatory responsibility. India-based services can also trigger cross-border outsourcing requirements.
  • White-label technology: software and branding do not establish regulatory status. VARA requires app stores and platforms to ensure that apps facilitating VA activities, searchable and downloadable in Dubai, are owned or controlled by the appropriately licensed VASP or otherwise approved by VARA.
  • Referrals: assess what the introducer actually does and how it is paid. VARA’s guidance contemplates an approved exchange referral programme; that example does not clear every arrangement or override broker-dealer execution restrictions.
  • Marketing: promotion of VA activities generally must come from the appropriately licensed VASP or be approved and issued on its behalf. The marketer also has obligations.

The contract and product must agree. A provider named in a footer is weak evidence if the startup independently promises execution, controls withdrawals or presents itself as licensed. The function map should show who makes each decision and how the system enforces it.

VARA’s sponsorship framework is a separate regulated route. The sponsor must control the sponsored entity, or both must share a controller. The relationship needs a written agreement, diligence and VARA approval before the sponsored activities begin. The sponsored business must be a Dubai legal entity.

It receives its own authorisation number and must identify itself in marketing as a Sponsored VASP, not a VARA Licensed VASP, while disclosing its sponsor. The sponsor also carries prescribed prudential and oversight responsibilities. There is no basis here to promise a willing sponsor, reduced capital or a faster launch. First decide whether that control arrangement is commercially acceptable.

What does a VARA licence cost

For a single Broker-Dealer or Exchange activity, the scheduled application fee is AED 100,000, with AED 200,000 annual supervision per activity. Each additional activity attracts an application extension fee of 50% of the lower application fee. VARA can modify charges. These regulatory fees are separate from capital and operating expenditure.

For Exchange Services using a VARA-licensed custodian, or an arrangement approved during licensing, paid-up capital is the higher of AED 800,000 or 15% of fixed annual overheads. Otherwise, it is the higher of AED 1.5 million or 25%. Broker-dealers have different thresholds. Settle the category and custody arrangement before preparing the budget.

Also obtain realistic staffing, compliance, technology, audit, custody and banking costs. A provider proposal needs its own commercial review: setup charges, minimum commitments, transaction pricing, customer access and exit costs. No provider quote or complete budget is available for this scenario. For broader background, see Dubai permissions and capital.

The Indian side remains a separate decision

Identify the investor, legal residence, funding source and work retained in India before choosing the Dubai ownership structure. If the foreign activity falls within India’s overseas-investment financial-services test, additional conditions apply; relevant company routes include a three-year profitability requirement. The ordinary resident-individual route has its own restrictions and exceptions. VARA regulation alone does not settle that Indian classification.

FIU-IND’s VDA framework is activity-based. Having Dubai customers does not automatically clear an Indian company that actually provides notified VDA services. A technology-only model also needs a documented scope and an appropriate service-export and payment route. Those questions should be resolved with Indian counsel and the authorised dealer bank before funding or operating.

Facts that change the answer

Revisit the route if the startup controls orders or keys, promises the regulated service, changes investor residence, adds Indian customers, accepts sponsor control, or introduces payment tokens, lending, derivatives or token issuance. Obtain the actual provider permissions and contracts; the case cannot establish their suitability in advance.
