Put the business your agent supports on a clear legal footing. Licentium coordinates the assessment, company setup, authority documents, contracts and account arrangements, then maintains the agreed corporate and legal framework as your business changes.
You, or another legally recognised person or entity, own the company. Its members or managers make the governance decisions. The AI agent performs tasks through the permissions you give it; the software does not become the owner or a separate legal person.
This service is for individuals and small founder teams using agents commercially, including founders outside the United States. We assess whether an LLC is useful and whether your existing company or a home-jurisdiction entity would serve you better.
Assess my AI agent's LLC setup
Tell us what the agent does, where you operate and whose money and data it handles.

Start with the activity
Private assistance. An agent organising personal email, appointments or household purchases does not, by that fact alone, need an LLC. The immediate questions are account permissions, payment consent, confidentiality and the terms of the services it uses.
Paid work. If you use an agent to deliver research, development or administrative services, identify the person or company contracting with customers, receiving fees and taking responsibility for the work. An existing business may already provide the right structure.
Purchases and payments. Buying software for your own company requires different arrangements from receiving, holding or moving customers' funds. Opening a company account does not itself authorise software to operate it.
Agents supplied to others. Selling an agent, connecting it to customers' accounts, or using it for recruitment, credit, investment or other regulated decisions requires an activity-specific review. Routine formation alone will not resolve those obligations.
When a separate company helps
An LLC can provide a defined contracting party, a place to hold or license business assets, and a structure for ownership, management and business accounts. It can also separate a new business line from another enterprise where the additional cost and administration are justified.
You do not need one company for every agent. Several agents can serve the same business under different authority schedules. Separate entities should follow ownership, commercial risk, assets, financing and customer relationships.
The liability shield generally protects members and managers from company debts solely because of their status. It does not erase personal guarantees, liability arising from your own conduct, or obligations imposed directly by law. Company funds, records and contracts need to be kept distinct from personal affairs. See the Delaware liability provision.
Who owns the LLC and controls the agent
For an ordinary Wyoming or Delaware LLC, ownership and management belong to legally recognised persons or entities; see the Delaware statutory definitions. The operating agreement and member or manager decisions establish who can approve the company's activities. The IRS generally requires a human responsible party for an EIN, subject to its government-entity exception; software cannot fill that role. See the IRS responsible-party requirements.
We prepare an authority schedule covering permitted tasks, spending rules, approval categories, prohibited actions, sub-agents, expiry and revocation. A named person must be able to suspend access and decide whether activity can resume.
Automated transactions can bind a company even without a person reviewing each transaction. Internal limits need to align with contracts, provider permissions and technical controls: a limit in an internal document does not necessarily defeat a counterparty's claim. Delaware's electronic-transactions rules address attribution and automated contracting. Our guide to delegated machine authority explores how permissions and evidence fit together; public-sector rules require their own scope analysis.
Choose the jurisdiction around the business
We compare the available incorporation jurisdictions with where you work, how the company is managed, customer markets, financing plans and provider eligibility.
- Wyoming LLC. When it deserves consideration: a founder-owned business seeking an ordinary US LLC with comparatively modest state charges. What still needs checking: owner eligibility, management, tax classification, registered agent, business address and operations elsewhere. The Wyoming formation route still requires an operating-state and tax review.
- Delaware LLC. When it deserves consideration: a business whose contracts, governance arrangements or counterparties give a reason to use Delaware. What still needs checking: recurring costs, management terms, financing expectations and registration elsewhere. The Delaware formation overview describes the process; the current annual LLC tax is $400 for tax year 2026 onward under the enacted amendment.
- Existing company, actual operating state or home jurisdiction. When it deserves consideration: the business already has a suitable entity, or its management and activity are concentrated elsewhere. What still needs checking: whether contracts, permissions, tax treatment and liability allocation support the proposed activity; whether another entity would add useful separation.
A registered-agent address is not a substitute for truthful operating information or every provider's address requirements. Activities in another US state can trigger registration and tax duties under that state's rules. Our founder-owned business jurisdiction guide explains the wider comparison.
Institutional investment may call for a corporation or a different group structure. We route those questions through our AI incorporation and jurisdiction service. Wyoming's specialised DAO regime accommodates management through members and smart contracts; it requires a separate assessment and does not make software a person. Estonia's e-residency is a digital identity programme, not a company form or tax residence.
What the setup includes
Licentium coordinates the engagement, with local counsel and tax advisers handling the local formation and tax work within their agreed mandates.
- Activity and eligibility assessment. We map residence, operating locations, existing entities, customers, funds, data and agent permissions. You receive the issues to resolve before formation or launch.
- Entity recommendation. We explain the proposed jurisdiction and structure, the assumptions supporting it, and when an existing entity is sufficient.
- Formation coordination. We coordinate the filing, registered-agent arrangements, corporate records and relevant tax registrations. Filing acceptance and tax registrations remain subject to the responsible authorities.
- Ownership and management documents. The package addresses membership, management, approvals, contributions and appropriate continuity arrangements.
- Agent authority documents. We define what the agent may do, when a person must approve, who may delegate, and how permissions are changed or withdrawn.
- Contracts and rights review. We identify the customer, supplier, contractor, confidentiality, data and asset arrangements needed for the selected activity.
- Account and payment onboarding support. We help prepare the legal and corporate materials and assess the proposed access method. Providers decide whether to accept the company and permit the workflow.
- Launch handover. You receive the document set, completion record, unresolved dependencies, named responsibilities, maintenance calendar and incident contacts.
Your technical implementer configures and tests the permissions, approval steps, logging and recovery arrangements. These tasks must be completed before the corresponding access is enabled.
Contracts, accounts and data must fit the company
Customer and supplier terms should identify the company, permitted automated actions, approval conditions and the process for disputed orders or refunds. Use legal review of AI-drafted contracts where the agent produces or negotiates terms. A signature generated by software does not answer whether the company authorised the transaction.
Code, domains, prompts, datasets, configurations and documentation need an asset and rights inventory. Some rights can be assigned; others are licensed or depend on a subscription. Existing personal accounts do not automatically transfer to the LLC. Contractual rights to an output also do not establish that every output qualifies for copyright protection; see the US Copyright Office's analysis.
For accounts, cards and wallets, we review the actual product terms, authorised-user rules, supported APIs, credentials and transaction permissions. A spending control may reduce exposure without changing the provider's allocation of liability. Payment-provider selection and onboarding also depends on residence, activities, ownership, sanctions exposure and markets. Approval or continuing access cannot be promised.
We review the purpose, permissions, access limits and retention rules for email, contacts, customer records and persistent memory. Where the GDPR applies, processing needs a lawful basis and appropriate security. Processor contracts and international-transfer safeguards depend on the roles and data flows involved. An LLC does not cure unlawful data use. Our data protection service for AI addresses the arrangements required for your activity.
Match AI obligations to the use and market
An autonomous support agent is not automatically a high-risk system. EU classification depends on the intended use and the statutory conditions. Articles 12 and 14 concern high-risk systems; their duties also depend on the applicable dates and transitional rules. Oversight and logging can still be sensible controls without being duties under those articles.
Where the EU AI Act applies, Article 50(1) generally requires providers of systems intended to interact directly with people to ensure that people are informed that they are interacting with AI, unless this is obvious in the circumstances or a specified exception applies. Other Article 50 duties concern particular content and uses. They do not create a universal requirement to announce every automated action. See the EU AI Act, as amended by Regulation (EU) 2026/1744, and our guide to EU rules for AI agents.
The Act's exclusion for natural-person deployers using AI purely for personal, non-professional activity does not cover commercial use. A US company also does not remove the rules applying where its owner works or where its customers are served.
Ongoing maintenance is part of the service
The setup establishes the records and permissions. The continuing engagement keeps the agreed legal framework under review, with documented actions at agreed intervals and when relevant changes occur.
Company status and records. We coordinate the registered-agent relationship, relevant state filings or taxes, and updates to ownership and management records. The maintenance record identifies the responsible filer, due date and evidence of completion.
Tax and reporting coordination. We maintain the agreed filing calendar and coordinate information collection and accountant handoff. You provide complete transaction and ownership records, including owner funding and withdrawals. Tax advisers determine and prepare the applicable filings within their mandate; the responsible person approves and funds them.
Authority and provider changes. We review changes to models, tools, sub-agents, spending, counterparties and access permissions. The output is an updated authority schedule, approval record and implementation instructions where needed. Material contract renewals, provider restrictions and eligibility changes are also reviewed within the agreed scope.
Data and market changes. New data sources, customer locations, products or regulated uses can change the assessment. We document the legal impact and required changes to contracts, disclosures or controls. Our analysis of AI agent compliance under EU law explains how activity-specific duties are assessed; high-risk duties apply only where their classification and application conditions are met. Broader policies can be developed through AI governance and documentation.
Incidents and exit. The engagement provides a route for legal triage, evidence preservation and coordination with providers, technical teams and local counsel. It also covers planning for adviser handover, owner changes, incapacity, agent retirement and company closure.
You remain responsible for accurate information, timely approvals and funding, reporting material changes, and ensuring that someone can stop the agent. We agree responsibility for each filing and review in writing. Litigation, specialist regulatory applications, complex tax work and substantial restructuring require a separate scope.
Legal maintenance does not include hosting the agent, continuous technical monitoring, cybersecurity operations or operating your funds. Your technical team maintains the live controls and alerts; Licentium coordinates the agreed legal response.
If the agent makes a mistake
An excessive purchase, unauthorised commitment, data disclosure or provider restriction needs a prompt, organised response. The designated operator suspends affected permissions where appropriate and preserves relevant instructions, approvals, transaction records and logs. The responsible person contacts the provider through its recognised channel, while the legal assessment addresses notification duties, contractual deadlines and available remedies.
We distinguish an unwanted purchase from an unauthorised payment or execution error. Refunds and chargebacks depend on the transaction, payment method, contract and applicable law; they are not automatic because AI was involved. Read more about agent purchases and refunds.
Revocation needs to reach the relevant systems and counterparties. Changing a policy document alone may leave credentials active or earlier commitments outstanding.
Non-US owners and companies with no revenue
Foreign ownership does not mean that a US LLC has no reporting or tax obligations. Federal treatment depends on the number of owners and any valid tax election. Income tax, information returns, state obligations and home-country treatment are separate questions.
A foreign-owned US disregarded entity may need Form 5472 with a pro forma Form 1120 when it has reportable related-party transactions. Formation funding, contributions or distributions can matter even without sales. The IRS Form 5472 instructions explain the reporting requirements. Our foreign-owner reporting guide provides the broader context.
US-created entities are currently exempt from federal BOI reporting under FinCEN's current rule. That exemption does not remove bank identification checks, tax reporting or other ownership disclosures.
Your residence, where decisions are made and where work is performed may affect home-country tax residence, permanent establishment, controlled-foreign-company rules or VAT/GST. We coordinate that assessment with advisers for the relevant jurisdiction.
How the arrangements fit different businesses
Paid research and development
A founder uses an agent to prepare research or code for customers. The company contracts for the service, checks rights in inputs and deliverables, and keeps final acceptance with an authorised person. Customer terms, contractor assignments and an authority schedule define the arrangement. An existing company may be sufficient.
Software subscriptions and customer refunds
An online software business uses agents for support, supplier purchases and refunds. Separate permissions define each workflow, with approved terms, transaction records and provider-supported access. New refund powers or access to customer data trigger a review of both documents and controls.
Company purchasing and wallet access
A founder allows an agent to buy services using company funds. The setup identifies the payer, approved suppliers, approval rules and a recovery contact. If the business starts holding customer funds or moving money for others, it needs a fresh regulatory assessment before that function starts.
Costs and timing
We provide a scoped quotation after assessment, separating Licentium's setup and continuing fees from state charges, registered-agent costs, local counsel, tax advisers and account or technical providers.
Wyoming's state formation fee is $100; its annual report licence tax is the greater of $60 or $0.0002 per dollar of assets located and employed in Wyoming. Delaware's ordinary LLC formation filing is $110; its annual LLC tax is $400 for tax year 2026 onward. These are state charges, not the total service price. See the Wyoming filing fees and Delaware fee schedule.
Formation, EIN processing, account approval and operational readiness are separate stages. Timing depends on complete information, authority processing, provider checks and the implementation of required controls. We identify those dependencies before agreeing a launch plan.
Questions about your setup
Does my personal AI agent need an LLC?
Private assistance alone does not establish that need. Commercial contracts, assets, payments and exposure determine whether a company helps.
Can the agent own or manage the LLC?
Software is not a recognised member or manager of an ordinary Wyoming or Delaware LLC. Automation can perform approved tasks, while legally recognised persons retain the governance roles.
Can a non-US resident use the service?
Yes, subject to the owner's circumstances, lawful activities, formation eligibility and provider acceptance. We assess the actual residence, ownership, control and markets, including relevant sanctions and local restrictions.
Should I choose Wyoming, Delaware or my existing company?
We compare them against your operations and plans. A second company is useful only if its benefits justify its additional obligations.
Can the agent sign contracts or use an account?
Automated contracting can have legal effect. Account access additionally depends on the provider's terms and supported permissions. Human approval requirements must be implemented in the workflow and reflected in external arrangements where necessary.
What protection do I get if the agent makes a mistake?
The LLC separates company obligations from ownership status within the applicable legal limits. It does not remove the company's liability or every basis of personal responsibility. We also identify appropriate insurance questions for a broker.
What if I change the agent, move country or stop the project?
Tell us before a planned material change. We reassess authority, providers, contracts, tax and market obligations. Retirement of the software does not close accounts, terminate contracts or dissolve the company. Succession and recovery require documented authority; possession of credentials is insufficient.
What does Licentium handle during maintenance?
We coordinate the agreed corporate calendar, reporting handoffs, legal reviews and document updates, with a record of completed work and outstanding actions. You supply information and decisions; local advisers, account providers and technical implementers carry out their assigned work.

Assess my AI agent's LLC setup
Describe the activity first. We will use that information to identify the structure, setup work and continuing support to include in a proposal.
Prepare these details for your enquiry:
- Your name, email and business name, if any.
- Your country of residence and where you actually work or manage the business. These locations help identify applicable tax and operating requirements.
- Any existing entity and its jurisdiction.
- What the agent will do, which tools or providers it uses, and where customers are located.
- Whether it uses company funds or handles funds for others, and the expected payment activities.
- The types of personal data it accesses, without sending individual records.
- The setup and ongoing maintenance support you need, and any target date.
Do not send passwords, API keys, wallet recovery phrases, payment-card details, identity documents or confidential customer files with the initial enquiry. Read our Privacy Policy for how enquiry information is handled.
