That expectation needs correcting before funding. Uniform Commercial Code (UCC) Article 12 digital assets rules can support a secured loan, but the result depends on the asset the borrower owns, effective control, the applicable conflicts rules and recognition in the relevant proceedings.
The preferred starting structure is a properly constituted Article 8 securities account, if the custodian qualifies and can deliver the required account rights, control and governing-law arrangements. If those conditions cannot be met, assess direct security over qualifying controllable electronic records. If the borrower holds only a contractual claim against the custodian, restructure the custody or underwrite and secure that claim expressly. Advance funds only after the selected structure passes the New York, Mexican, Singapore and actual custodian-jurisdiction checks below.
- Identify the collateral first. A crypto record, a security entitlement and a contractual custody claim require different legal analysis. A securities-account label alone does not create an entitlement. (N.Y. U.C.C. §§ 8-102(a), 8-501, 12-102(a)(1).)
- Prove control in operation. Article 12 tests actual powers over the record; Article 8 tests the relevant entitlement-order arrangement. The agreement's title proves neither. (N.Y. U.C.C. §§ 8-106(d), 12-105.)
- Choose the applicable law separately. Contract law, proprietary rights, perfection, priority and insolvency can follow different rules. The Hague Securities Convention may also govern an intermediated account in a United States forum. (N.Y. U.C.C. §§ 1-301(c), 8-110, 9-306B, 12-107; Hague Securities Convention, arts. 2–5, 8.)
- Make funding conditional on evidence. Obtain the custody documents, implemented control arrangements, priority searches, necessary filings and scoped local opinions. Mexican insolvency and enforcement requirements remain material. (Ley General de Títulos y Operaciones de Crédito (LGTOC), arts. 365–368; Ley de Concursos Mercantiles (LCM), arts. 65, 75, 112–117.)
Identify the right the borrower can pledge
What the borrower can pledge depends on the token and custody terms. Start with the account agreement, token terms, ownership records and custody chain.
Direct crypto rights. A controllable electronic record, or CER, is an electronic record capable of Article 12 control, subject to statutory exclusions. Investment property is excluded. Control of a record also does not necessarily transfer every associated redemption, issuer or underlying-asset right. Examine those rights separately. (N.Y. U.C.C. §§ 12-102(a)(1), 12-104(c), (f).)
An Article 8 security entitlement. Crypto can be treated as a financial asset through the required securities intermediary and securities-account agreement, including an express financial-asset election. The account undertaking and an applicable § 8-501(b) acquisition condition must establish the entitlement. An entitlement can exist despite a shortfall in the intermediary's holdings; asset reconciliation remains essential. The entitlement is then investment property under Article 9, with Article 8's control and adverse-claim rules. The election does not settle securities regulation or licensing. (N.Y. U.C.C. §§ 8-102(a)(9)(iii), (14), (17), (d), 8-501; 9-102(a)(49).)
A contractual custody claim. Terms allowing the custodian to take title and owe equivalent assets may leave the borrower with a delivery or repayment claim. That claim requires its own classification and security analysis. A promise to return tokens is not automatically a monetary payment intangible, and control over the custodian's wallet does not establish the customer's ownership. (N.Y. U.C.C. §§ 9-102(a)(42), (61), 9-203(b)(2).)
For this transaction, an eligible Article 8 account offers a defined entitlement and a contractual route for selecting the intermediary's jurisdiction. That is a reason to investigate it first, subject to the treaty and custody conditions below. It also requires a shortfall assessment: entitlement holders' property interests and recovery rights are qualified, including by certain controlling creditors of the intermediary. Segregation and reconciliation support the structure; they do not establish universal insolvency protection. (N.Y. U.C.C. §§ 8-110(e), 8-503, 8-504, 8-511.)
The same need to distinguish the token from the investor's legal right arises in Singapore tokenized fund units used as collateral.
Make control legally and technically effective
For a CER, Article 12 requires the prescribed powers to obtain substantially all benefits, exclude others and transfer control, together with identification of the controller. Some shared powers and protocol constraints are permitted. A two-signature arrangement that requires the borrower-transferor's cooperation can defeat the lender's direct control. Map private keys, signing thresholds, multiparty computation (MPC) shares, recovery permissions, upgrade powers and sub-custodian dependencies against the statute. (N.Y. U.C.C. § 12-105(a)–(d).)
A custodian can hold control on the lender's behalf if the statutory conditions are met, including actual control by a person other than the transferor and the necessary acknowledgment. A bare acknowledgment does not supply all operational duties. Require express instruction, access, reporting, continuity and release obligations, backed by a witnessed operational test. (N.Y. U.C.C. § 12-105(e)–(g).)
For an Article 8 entitlement, obtain the intermediary's agreement to comply with the lender's entitlement orders without further borrower consent. Certain other conditions can coexist with control, and retained borrower dealing rights do not invariably defeat it. Nevertheless, this lender should require contractual withdrawal restrictions, specified permitted movements and clear default instructions to protect collateral value. Those are credit protections as well as operational arrangements. (N.Y. U.C.C. §§ 8-106(d)(2), (f), (i), 9-106.)
Establish the law governing each issue
The loan's New York clause does not displace mandatory UCC choice-of-law provisions. The statutory contractual safe harbour for qualifying transactions of at least US$250,000 expressly preserves those provisions; the loan amount must therefore be established. A governing-law clause also does not select an enforcement forum by itself. (N.Y. Gen. Oblig. Law § 5-1401; N.Y. U.C.C. § 1-301(c).)
For a CER, identify its jurisdiction through Article 12's ordered record-and-system rules. A designation in the record, a qualifying associated record or system rules may control. The ultimate fallback is the District of Columbia. A separate loan agreement selecting New York is not enough unless it satisfies the relevant statutory route. (N.Y. U.C.C. § 12-107(c), (d).)
The CER jurisdiction generally governs non-filing perfection and priority, while perfection by filing follows debtor-location law. For a foreign organisation, determine its place of business or chief executive office and whether the relevant jurisdiction meets Article 9's public-filing-system condition. Mexican incorporation alone neither answers that test nor automatically requires a District of Columbia filing. (N.Y. U.C.C. §§ 9-306B, 9-307(b), (c).)
For an Article 8 account, put the intermediary-jurisdiction designation and governing-law terms in the account documentation. Then check the Hague Securities Convention if the account falls within its scope. In a United States forum, a New York-law selection under the Convention requires a qualifying intermediary office somewhere in the United States when the agreement is made. A server or mail drop alone is insufficient. Failure of that test requires the Convention's fallback analysis. Its rules can also alter the ordinary Article 9 filing analysis. (N.Y. U.C.C. §§ 8-110(e), 9-305; Hague Securities Convention, arts. 4, 5, 10, 12.)
Mexico and Singapore are not Convention parties as of 5 November 2026. Their courts' applicable conflicts and insolvency rules must be addressed separately, as must those of the actual custodian's jurisdiction. Even within the Convention, insolvency avoidance, ranking and enforcement restrictions remain material. (HCCH, Securities Convention status table; Convention, arts. 8, 9.)
Separate creation, perfection, priority and take-free protection
Attachment creates the enforceable security interest. Confirm value, the borrower's rights or power to grant security, and the applicable statutory evidentiary condition. Use a signed grant identifying the relevant records, entitlements, accounts, contractual claims, substitutions and proceeds. (N.Y. U.C.C. §§ 9-108, 9-203.)
Perfection requires the correct method under the applicable law. New York Article 9 permits filing for CERs and investment property and provides control perfection through § 9-314. CER control is determined through § 9-107A and Article 12. Do not assume signing an agreement establishes continuous operational control. (N.Y. U.C.C. §§ 9-312(a), 9-314, 9-107A.)
Priority compares competing interests. Section 9-326A gives a CER security interest perfected by control priority over a conflicting interest without control. It does not resolve every contest between controllers. Article 8 collateral follows § 9-328, including the intermediary's own security-interest priority. Obtain searches, representations, releases and enforceable lien and set-off waivers or subordinations from the custodian and relevant prior creditors. (N.Y. U.C.C. §§ 9-322, 9-326A, 9-328, 9-339.)
Take-free protection has additional conditions. Article 12's qualifying-purchaser rule requires control, value, good faith and absence of notice of a property claim. It does not turn a limited security interest into unrestricted ownership or cleanse every underlying right. Article 8 has separate adverse-claim rules. (N.Y. U.C.C. §§ 12-102(a)(2), (4), 12-104(d)–(f), 9-331, 8-502, 8-510.)
New York's amendments took effect on 3 June 2026. The adjustment date is 3 June 2027, but transitional protection depends on the particular interest, perfection and priority history. Obtain dates and evidence of earlier grants and amendments; the adjustment date is not a blanket grace period for a new loan. (L. 2025, ch. 579, § 88; N.Y. U.C.C. §§ 12-A-102, 12-A-302–306.)
Complete the Mexican security and insolvency analysis
Mexican counsel must confirm the borrower's capacity, corporate purpose, signatory powers and required approvals. Mexican conflicts rules distinguish contractual choice from proprietary and public-policy questions. The borrower's incorporation does not itself settle the location or governing law of every digital right, while a valid foreign-created legal situation is not automatically disregarded. (Ley General de Sociedades Mercantiles (LGSM), art. 10; Código Civil Federal (CCF), arts. 13–15.)
Where Mexican law requires or supports a local non-possessory pledge, identify eligible transferable rights and execute the correct written instrument. Signature ratification before a competent certifying officer is required where the secured credit reaches 250,000 unidades de inversión (UDI). Establish third-party effectiveness through the required registration and verify the Registro Único de Garantías Mobiliarias (RUG) record, collateral description and priority position. Filing cannot cure absent ownership or an invalid grant. (LGTOC, arts. 346, 353–355, 365–368; Código de Comercio (CCom), arts. 32 bis 1–32 bis 2.)
Concurso mercantil can restrict realisation during conciliation. The important exception requires a judicial determination, following the conciliator's reasoned opinion, that the secured assets are not strictly indispensable to ordinary operations. Priority also remains subject to applicable protected claims and costs. Agree margin and top-up obligations at origination, while recognising that later security can still face avoidance. (LCM, arts. 65, 75, 112–117, 219, 224–225.)
Choose the enforcement route for the actual claim and assets. The Mexican non-judicial pledge procedure has conditions, including absence of specified disputes. Recognition of a foreign debt judgment is a different question from recognition of proprietary foreclosure: the commercial-code recognition provision expressly excludes judgments resulting from an action in rem. Counsel must identify the available local proceeding and any applicable treaty route. (CCom, arts. 1347-A(II), 1414 bis–1414 bis 7.)
Confirm the Singapore lender's activity and permissions
The lender's business model matters. Singapore's Moneylenders Act excludes a person lending solely within specified categories, including corporations. One corporate borrower does not establish that the lender satisfies the exclusion across its business. Verify its actual lending activity and status. (Moneylenders Act 2008, s. 2, definition of “excluded moneylender”, para. (e).)
Separately assess the token and what each participant does. Taking collateral does not establish permission to operate custody, exchange or transfer services. Singapore's payment-services, capital-markets and overseas digital-token-service regimes may become relevant when those activities form part of the structure. Obtain a Singapore opinion on the actual lender, service providers and proposed realisation method before approving the custody and liquidation arrangements. (Payment Services Act 2019, s. 5 and First Schedule; Securities and Futures Act 2001, s. 82; Financial Services and Markets Act 2022, Part 9.)
Turn the analysis into funding and enforcement conditions
Allocate the closing work explicitly:
- Borrower and Mexican counsel: deliver constitutional documents, powers, approvals, title evidence, existing-security disclosures and the local security, filing and concurso analysis.
- Custodian and operations teams: deliver the account terms, entitlement or ownership records, custody-chain map, permissions evidence, control acknowledgment, competing-lien treatment and successful instruction tests. Restrict reuse, staking, bridging and collateral migration unless expressly approved after renewed legal and control checks.
- New York and custodian-jurisdiction counsel: address classification, the applicable conflicts route, attachment, perfection, priority, custody insolvency and realisation. Confirm whether the proposed Article 8 account satisfies the Convention's office test. Identify every required filing and its renewal arrangements.
- Singapore counsel and the lender: confirm the lending and service-permission analysis, liquidation provider, contractual forum and recognition route where recovery will occur. Finalise valuation, haircuts, margin calls, concentration limits and liquidity assumptions from the actual assets and market evidence.
These documents should form a single Web3 legal due diligence evidence set, with each outstanding condition assigned to an owner.
The default procedure must specify evidence of default and any cure period, authorised instructions, insolvency or legal-hold checks, sale method, valuation, proceeds settlement and surplus accounting. Where New York Article 9 governs disposition, commercial reasonableness and applicable notice requirements remain relevant. Crypto volatility is not a blanket notice exemption, and taking collateral in satisfaction has separate conditions. (N.Y. U.C.C. §§ 9-610, 9-611, 9-615, 9-620, 9-624.)
Secure the proceeds route as well. Conversion into cash can create a bank-account exposure with different perfection and priority rules. Permit substitution only after replacement security is effective; release collateral and filings after verified discharge under the applicable law and agreed mechanics. (N.Y. U.C.C. §§ 9-104, 9-304, 9-315, 9-327; LGTOC, art. 364.)
The next decision is therefore whether the custodian can support the selected entitlement or CER structure with enforceable rights and tested operations. Resolve that question, complete the jurisdiction-specific conditions and record the enforcement route before advancing funds.
