The platform should begin with a catalogue it can document and benefits it can deliver throughout the promised period. The distinction between NFT ownership and copyright is the starting point. The music-specific task is to connect each benefit with an authorised grant that covers Nigeria, the US and the service’s actual technical operations.
Executive Summary
- Clear the recording and the underlying music separately. On-demand listening requires master permission, composition performance permission and authority for the necessary copies. The US statutory sound-recording licence does not cover interactive services. (17 U.S.C. §§ 106, 114(d)(2)(A)(i), 115.)
- Verify Nigerian ownership and existing contracts before accepting an artist’s licence. Recording ownership, publishing control and performer consent can sit with different people. Assignments and exclusive licences require writing; the exclusive-licence definition also requires signature. (Copyright Act 2022, ss. 28, 30, 63, 69, 108.)
- Give buyers a precise personal-use grant and a workable transfer process. Copyright does not pass merely because a token changes wallets. Later holders need access to the applicable terms and a valid mechanism for receiving the promised benefits. (17 U.S.C. §§ 101, 202, 204.)
- Assess revenue participation separately from collectible access. US investment-contract analysis examines the economic arrangement and promised managerial work. Nigeria separately regulates digital assets and relevant issuer and service activities. (SEC Release No. 33-11412, §§ III.B, IV.A; Investments and Securities Act 2025, ss. 3, 61, 357.)
- Enable US-facing distribution only when the rights schedule, regulatory route, buyer disclosures, payment process and removal arrangements support the product being sold.
Define the recording and each buyer benefit
The rights lead should identify the exact master version, its owner or authorised controller, and any samples. Record the composition title, writers, publishers and controlled shares separately. Add the performers, cover artist, photographer and any video producer. Track identifiers help match documents to recordings; they do not prove ownership.
The recommended initial offer is personal on-demand listening to the identified recording, with a limited right to display the collection artwork. State the service period and licensed territory before payment. Add downloads, lyric pages, videos, stems or commercial reuse only after clearing those functions. This narrower starting package reduces the number of permissions and delivery promises the platform must administer.
Map the technical uses as well. Uploading, encoding, hosting and delivering music can make copies. Playing a selected track to paying members can engage public-performance rights despite the wallet gate. The token record and the linked music file may be separate objects; minting or transferring the token does not invariably create a new music copy. The legal analysis follows what the system actually stores and transmits. (17 U.S.C. §§ 101, 106; Copyright Act 2022, ss. 9, 12.)
Clear masters, publishing, performances and visuals by use
For US on-demand listening, obtain a direct master licence covering the recording’s digital public performance and the necessary technical copies. A holder choosing a particular track is the central interactive-service case. The section 114 statutory licence for eligible noninteractive transmissions cannot replace that grant. (17 U.S.C. § 114(d)(2)(A)(i), (j)(7).)
The composition requires its own public-performance permission, directly from the relevant controller or through a society whose licence covers the work and service. Reproduction rights need a separate route. The section 115 mechanical licence can cover qualifying interactive streams and downloads of nondramatic musical works. It does not supply master rights, composition performance rights, lyric-display rights or audiovisual permission. (17 U.S.C. §§ 106(4), 114(d)(3)(C), 115(d)(1)(B), (d)(13), (e)(10).)
For a defined collection, negotiate direct publishing permissions where practicable. Identify the authorised works and shares, US uses, bundle accounting and reporting. This is a proposed contracting route, not a statutory requirement to avoid collective licensing.
If the platform uses the section 115 blanket licence, confirm provider and activity eligibility before relying on it. Complete the required notice, reporting, royalty and assessment arrangements. An earlier authorised US release is one eligibility route; the statute also permits certain first digital releases with the specified authorisations. Do not reject or approve a track merely from its release history. Direct licensing also does not automatically remove every statutory reporting or assessment obligation. (17 U.S.C. § 115(a)(1)(A)–(B), (d)(2), (d)(4), (d)(6).)
A download needs master and composition reproduction and distribution authority. The offer must also explain whether the downloaded file remains usable after token resale. A licence permitting streaming alone does not answer either question. (17 U.S.C. §§ 106(1), (3), 115.)
Visuals and performances need their own checks:
- Obtain artwork and photograph permissions for hosting, listings, promotion and any holder display. A master licence does not automatically include the cover image.
- Clear displayed lyrics separately. A mechanical licence alone does not authorise lyric pages.
- Obtain composition synchronisation and master-use permissions for music combined with video or timed visual sequences. Static cover art beside an audio player is not automatically the same audiovisual use.
- Inspect performer, featured-artist and session agreements. Confirm that the intended reproductions, on-demand availability and promotional uses are covered, and obtain extensions where necessary.
- Resolve samples and other incorporated works before delivery. Permission for the finished master does not establish every underlying clearance.
These checks follow the separate exclusive rights and the limits of existing consent. (17 U.S.C. §§ 106, 115(e)(10); Copyright Act 2022, ss. 9–12, 63, 69.)
Artist identity needs a separate promotional decision. Agree how the platform may use names, photographs, voices and endorsements. For covered advertising or trade uses in New York, written consent is required, subject to statutory exceptions, including specified uses connected with authorised productions and recordings. Confirm whether the campaign falls within an exception or needs fresh consent. A photograph licence alone does not settle the person’s rights. Other target states require their own assessment. (N.Y. Civil Rights Law §§ 50–51; 15 U.S.C. § 1125(a).)
Establish Nigerian title and licence the US activity
Nigerian copyright generally starts with the author, subject to the Act and applicable agreements. For a sound recording, the statutory author is the person who arranged its making. Do not assume the vocalist, producer or person paying the invoice necessarily holds every required right. Obtain the recording, production, publishing, administration and assignment documents that establish the actual chain. (Copyright Act 2022, ss. 28, 108.)
Record when the work and each agreement were created. The current Act commenced on 17 March 2023 and preserves specified earlier rights and licences. Older transactions require examination under the law applicable to that event; a new token sale does not repair a defective earlier grant. (Copyright Act 2022, ss. 106–107.)
Nigerian assignments and exclusive licences must be in writing. Nonexclusive licences may be written, oral or inferred from conduct, but signed documents are the recommended evidence for this cross-border distribution. Define the works, acts, territory, term, payment, hosting authority and downstream grants. The exclusive-licence definition requires the owner’s signature or an authorised signature. (Copyright Act 2022, ss. 30(2)–(4), 108.)
Do not turn that recommendation into an absolute rule that every co-owner must always sign. Section 30(5)–(6) gives a co-owner’s grant potentially wider effect, subject to its conditions and agreements. Establish the licensor’s actual authority and any competing exclusive grants. Reliance on one party’s statutory power needs a reasoned analysis of the ownership, contracts and US consequences.
Performer consent also needs its own chain. The Act’s default grant connected with an audiovisual fixation is not a universal transfer for audio recordings. Preserve attribution and control alterations through the agreements; authors’ and performers’ moral rights are not transferable during life. (Copyright Act 2022, ss. 14, 63, 66, 69.)
A collective licence must identify the rights, repertoire, shares, uses and territory it covers. Check current Nigerian Copyright Commission approval and the relevant mandates or reciprocal arrangements. Section 88 permits certain nonmember licensing only under stated conditions. Neither society membership nor a broad invoice proves authority for US interactive use, synchronisation or holder sublicences. (Copyright Act 2022, s. 88.)
Qualifying Nigerian works can receive US copyright protection. A Nigerian governing-law clause does not remove the US permissions required for US exploitation. Make the grant satisfy the applicable transfer formalities and expressly cover the US uses. US assignments and exclusive licences generally require a signed writing. (17 U.S.C. §§ 101, 104, 204(a).)
Plan enforcement as well as distribution. Section 411(a)’s registration prerequisite concerns the defined category of a United States work, not simply the artist’s nationality. Section 412 can restrict statutory damages and attorney fees for foreign works too. The rights owner should review registration timing and preserve first-publication evidence before a dispute arises. (17 U.S.C. §§ 101, 411–412.)
Specify transfers and separate royalty income
The proposed buyer grant should say what the price buys in ordinary language:
- A nonexclusive right to personal listening through the named service, for the stated territory and period.
- The specified artwork-display permission, with any download benefit listed separately.
- No ownership of the master, composition, lyrics or artist identity, and no royalty-income entitlement in the access package.
- No permission for commercial reuse, public broadcasting, remixes, merchandise or new token collections unless expressly granted.
- Clear treatment of resale, already consumed benefits, retained downloads, service withdrawal and unavailable content.
These are proposed commercial terms. The upstream licences must authorise the benefits and any grant to successive holders. A workable structure lets the platform issue a fresh personal licence to each eligible holder. The seller’s token-dependent streaming access ends on transfer; the next holder receives access after the required acceptance and eligibility checks. Promise this structure only where the contracts and system support it.
Before payment, show a short benefit summary next to the full, versioned licence. Identify the licensor and service operator. Obtain clear affirmative agreement and retain the accepted text and transaction evidence. Present the same information before activating a later holder’s benefits. A separate checkbox is a useful implementation, rather than a universal legal formality; notice and unambiguous assent are the governing concern. (Berman v. Freedom Financial Network, LLC, 30 F.4th 849, 855–58 (9th Cir. 2022).)
Keep collection metadata and controlled marketplace listings consistent with the offer. A wallet transfer alone does not establish acceptance of undisclosed restrictions. Nor does copyright’s first-sale rule authorise every new download: it limits distribution rights in particular copies, rather than creating a general reproduction permission. (17 U.S.C. §§ 109(a), 202, 204.)
Revenue participation requires a different decision. A creator’s contractual payment from the platform is distinct from a buyer’s right to receive income. The SEC’s March 2026 interpretation treats digital collectibles without rights to passive yield, future income or profits as a category separate from securities. It also recognises that a nonsecurity token can be sold as part of an investment contract. This is an agency interpretation, not an exemption enacted by Congress. (SEC Release No. 33-11412, §§ III.B, IV.A, effective 23 March 2026.)
A promise that buyers share royalties generated through the platform’s future licensing work strengthens the investment-contract case. Assess investment of money, a common enterprise and expected profits from others’ essential managerial efforts. The instrument may also fall within another statutory security category. Calling payments royalties or adding listening access does not decide the result. (SEC v. W.J. Howey Co., 328 U.S. 293, 298–301 (1946); 15 U.S.C. § 77b(a)(1); SEC Release No. 33-11412, §§ III.E, IV.A.)
Before offering that financial product to US fans, securities counsel must determine an available registration or exemption route and the resulting sales and promotion limits. US-facing sales do not become offshore merely because the issuer is Nigerian. A Nigerian-incorporated issuer cannot itself use Regulation Crowdfunding’s domestic-issuer route. Proposed 2026 crypto exemptions must not be treated as operative permissions. (15 U.S.C. §§ 77e, 77d-1(f)(1); 17 C.F.R. § 230.903(a); SEC Release No. 33-11434, proposed 18 August 2026.)
Approve promotional copy under the chosen securities route before publication. Where section 17(b) applies, a person describing the security for consideration from an issuer, underwriter or dealer must disclose the receipt, past or prospective, and the amount. A generic sponsorship label may omit required information. (15 U.S.C. § 77q(b).)
For the access product, market the actual listening and display benefits. Avoid promises that the team will increase resale value. Promotional commitments can affect the investment-contract analysis, while misleading benefit claims raise consumer-protection concerns. (SEC Release No. 33-11412, § IV.A; 15 U.S.C. § 45(a).)
Assemble the permissions and distribution package
The platform should assign a responsible owner to each launch condition.
The rights lead should complete a signed master licence and a separate publishing route for every track. Attach ownership evidence, writer and publisher information, samples, performer permissions and artwork grants. Specify technical copying, US access, promotional uses, sublicensing and the treatment of later holders. Disable any function whose permission remains unresolved.
Nigerian counsel must assess the token and the platform’s own functions before launch. The Investments and Securities Act 2025 expressly includes virtual and digital assets, and the SEC’s rules reach issuers as well as service providers. Assess issuance, custody, transfer and resale separately, then obtain the registrations or documented basis for exemption or nonapplication that the model requires. An access-only design, US nonsecurity conclusion or vendor’s licence does not establish Nigerian authorisation. (Investments and Securities Act 2025, ss. 3(3)(b), (i), 61(1), 357; SEC Digital Assets Rules 2022, Part A, rr. 1, 4, and Part D, rr. 1–4.)
Product and operations should translate the licensed territory into account, payment, location and access controls. A US-only music grant does not authorise worldwide hosting or worldwide delivery. Identify where technical copies are made and ensure the agreements cover those operations. Apply eligibility checks when benefits activate after resale. The platform may be unable to prevent every token transfer, so it must distinguish transferable tokens from territorially restricted service access.
Finance should agree the payment schedule with each rights controller. Define receipts, permitted deductions, currency conversion, due dates, usage reports, records, audit rights, refunds and withholding documentation. Account for music use and bundled consideration under the selected licensing route. Keep rights-owner royalties, marketplace fees and any investor distributions separately identifiable. No single NFT royalty percentage replaces those agreements or statutory obligations.
Map the funds flow before choosing payment and custody providers. Taking payment for the platform’s own product differs from accepting and transmitting value for others. US money-transmission analysis depends on the actual function and applicable exceptions; Nigerian issuer and service requirements also remain separate. Obtain providers’ written acceptance of the actual product, countries and currencies. Their contracts do not authorise the platform’s own regulated activities. (31 C.F.R. § 1010.100(ff)(5); Investments and Securities Act 2025, ss. 3, 61.)
The distribution agreement should allocate infringement notices, evidence preservation, owner cooperation, defence costs and indemnities. Product staff need an effective way to suspend disputed hosted content. Buyer terms should state the remedy for a paid benefit that cannot be supplied, subject to mandatory consumer law. Promise only the access period and hosting continuity the platform can support. (15 U.S.C. § 45(a); Federal Competition and Consumer Protection Act 2018, ss. 123, 127.)
Takedown procedures support that package but do not supply missing music licences. US safe harbours have conditions, and losing one does not itself establish infringement. Nigerian intermediary protection is limited to the statutory class and conditions, including neutral, automatic and passive conduct. A platform selecting and supplying its own collection must assess its own acts directly. Arrange controlled hosting and a response process without promising deletion of every blockchain record or third-party copy. (17 U.S.C. § 512(c), (i), (l); Copyright Act 2022, ss. 54–62.)
Distribution can proceed when the actual product matches the cleared rights, the applicable regulatory route, the accepted buyer terms and the operating arrangements. Adding downloads, new territories or revenue participation requires checking the permissions and obligations affected by that change.
Scope a review of the master and publishing chain, performer permissions, buyer licence and transfer terms. Review music and collection licences.
